Agreement to these terms
These terms govern your use of the website at viridian.inc (the "Site"), operated by Viridian LLC, a Delaware limited liability company with its principal place of business in San Francisco, California ("Viridian," "we," "us"). By using the Site, you agree to these terms. If you do not agree, do not use the Site.
The Site is informational
The Site describes our services. It is not an offer, and nothing on it creates a client relationship. Any services we provide are governed exclusively by a separate written agreement between Viridian and the client, including pricing, scope, and, where patient information is involved, a Business Associate Agreement (BAA). If a written agreement conflicts with these terms, the written agreement controls for the services it covers.
From time to time we may provide a complimentary audit, assessment, or similar preliminary work before a written agreement is signed. Any such preliminary work is provided as a courtesy, "as is," for informational purposes only; it is subject to the disclaimers and limitations in these terms and does not by itself create a client, advisory, or fiduciary relationship.
No medical, legal, or compliance advice
Content on the Site relates to business operations and marketing for healthcare organizations. It is not medical advice, legal advice, or regulatory compliance advice, and you should not rely on it as a substitute for advice from qualified professionals.
Results, metrics, and testimonials described on the Site reflect specific businesses and circumstances. They are illustrations, not promises, and we do not guarantee any particular outcome.
Intellectual property
The Site and its content, including text, design, graphics, logos, and the Viridian name and marks, belong to Viridian or its licensors. We grant you a limited, revocable, non-exclusive license to access and view the Site for your personal or internal business purposes, including evaluating our services. You may not copy, republish, or create derivative works from the Site's content without our written permission.
Acceptable use
- Do not use the Site for any unlawful purpose.
- Do not interfere with or disrupt the Site, probe or test its security, or attempt to gain unauthorized access to any systems.
- Do not scrape, harvest, or bulk-collect content or data from the Site, including by automated means.
- Do not misrepresent your affiliation with Viridian.
Third-party links and services
The Site may link to third-party websites or load third-party resources. We do not control them and are not responsible for their content or practices. Your use of third-party services is at your own risk and subject to their terms.
Disclaimer of warranties
The Site is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
Limitation of liability
To the maximum extent permitted by law, Viridian will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to your use of the Site. Our total liability for any claim related to the Site will not exceed one hundred US dollars ($100). This section does not limit liability that cannot be limited under applicable law, and it does not apply to services provided under a separate written agreement, which has its own liability provisions.
Indemnification
You agree to indemnify and hold Viridian harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site or violation of these terms.
Governing law
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute arising from these terms or the Site will be resolved in the state or federal courts located in San Francisco County, California, and you consent to their jurisdiction.
General
If any provision of these terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will stay in effect. These terms are the entire agreement between you and Viridian regarding use of the Site only; they do not supersede or modify any written services agreement. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them in connection with a merger, acquisition, or sale of assets.
Changes to these terms
We may update these terms from time to time. When we do, we will update this page and revise the date at the top. Continued use of the Site after a change means you accept the updated terms.
